DVS Chess Affiliate Programme Agreement

# DVS Chess Affiliate Programme Agreement Version 1.0. Effective date: 12 July 2026. ## 1. Programme and acceptance This agreement governs participation in the DVS Chess affiliate programme. Applying and accepting this agreement does not guarantee approval. DVS Chess may approve, reject, suspend, or terminate an affiliate account following reasonable compliance, fraud, safeguarding, reputation, payment, or operational review. Applicants must be at least eighteen years old and legally able to accept this commercial agreement. Junior accounts cannot apply, operate an affiliate code, or receive affiliate payouts. A parent or guardian who wishes to participate must apply through their own adult account. ## 2. Current commercial offer The initial standard offer is 20% of eligible paid monthly student subscription revenue for 36 months from locked attribution. The platform owner may change the rate, eligibility period, hold period, minimum payout, or programme availability for future commission entries. Existing posted ledger entries retain their recorded rate unless reversed under this agreement. ## 3. Eligible commission Commission is created only when DVS Chess records an eligible student subscription as paid and active. A signup, free trial, unpaid registration, failed payment, complimentary access, coupon discount, promotional credit, bonus credit, internal test, or duplicate transaction does not earn commission. Commission is calculated on the eligible amount actually paid, and each subscription payment can create at most one commission entry. ## 4. Attribution Attribution is first-touch and locked to a valid active code captured at signup. A guardian's attribution may apply to eligible subscriptions purchased for their linked children. DVS Chess may void self-referrals, circular referrals, duplicate accounts, misleading attribution, code substitution, cookie stuffing, impersonation, or any attempt to claim an existing DVS relationship. ## 5. Hold, reversals, and disputes Commission may remain pending during the configured verification and refund hold period. DVS Chess may reverse or withhold commission for refunds, chargebacks, payment reversals, fraud, duplicate payment, account cancellation caused by unlawful conduct, breach of this agreement, or accounting correction. The affiliate must raise a ledger dispute promptly and provide reasonable evidence. ## 6. Payouts Payouts may be weekly or monthly subject to the affiliate preference, platform schedule, minimum threshold, verification, and operational availability. DVS Chess may pay by M-Pesa, bank transfer, PayPal, or another approved method. A payout is complete when DVS records a verifiable provider reference. Affiliates must keep payout details accurate. ## 7. Fees and taxes Payment-provider, transfer, foreign-exchange, bank, PayPal, M-Pesa, and similar transaction charges may be deducted from the payout. DVS Chess may deduct and remit withholding tax or other legally required amounts. The affiliate remains responsible for registration, returns, invoices, declarations, and taxes applicable to their income. DVS may require identity, residence, KRA PIN, tax, banking, or other lawful verification before payout. Tax treatment should be confirmed with a qualified adviser. ## 8. Promotion standards Affiliates must be truthful, professional, and clear that they are independent promoters. They must not make false earnings claims, guarantee chess results, misrepresent prices, send unlawful spam, bid on protected brand terms without permission, use deceptive links, impersonate DVS Chess, or make commitments on behalf of DVS Chess. Approved brand assets may be used only for programme promotion and must be removed when participation ends. ## 9. Privacy, children, and safeguarding Affiliates receive masked reconciliation records only. They have no right to a guardian's contact details, payment-provider data, a child's identity, learner records, attendance, chess activity, or other personal data. Affiliates must not solicit children directly, create unauthorised junior accounts, collect child data for DVS Chess, or bypass guardian consent and safeguarding controls. ## 10. Independent relationship The affiliate is an independent participant, not an employee, worker, partner, franchisee, representative, fiduciary, or agent of DVS Chess. The affiliate has no authority to bind DVS Chess, incur costs, collect money on its behalf, make warranties, or appoint sub-affiliates unless expressly authorised in writing. ## 11. Records, audit, and set-off The DVS Chess ledger is the operational record of attribution, eligible payments, commission, reversals, and payouts, subject to correction of proven errors. DVS Chess may investigate suspicious activity and set off confirmed overpayments, reversals, taxes, fees, or losses caused by breach against unpaid commission where lawful. ## 12. Suspension and termination Either party may end participation. DVS Chess may suspend a code immediately while investigating fraud, unlawful marketing, safeguarding concerns, payment abuse, security risk, or material breach. Accrued commission remains subject to verification, reversal, set-off, legal retention, and this agreement. No future commission is guaranteed after termination. ## 13. Liability To the extent permitted by law, DVS Chess does not guarantee traffic, conversions, earnings, uptime, or continued programme availability. DVS Chess is not liable for indirect, consequential, speculative, or lost-profit claims. Subject to rights that cannot lawfully be excluded, DVS Chess's aggregate programme liability is limited to verified unpaid commission finally due to the affiliate for the six months before the event giving rise to the claim. ## 14. Changes, law, and review Material changes will be versioned and may require renewed acceptance. Kenyan law applies. The parties should first attempt good-faith resolution through DVS support before pursuing available legal remedies. This is an operational agreement draft and should be reviewed by qualified Kenyan commercial, tax, and data-protection counsel before final production reliance.
